Whitman-Walker has retained G&S to conduct a search for the General Counsel of its community-based health system at their headquarters in Washington, DC. For nearly 50 years, Whitman-Walker’s mission has been to offer affirming community-based health and wellness services to all with a special expertise in LGBTQ and HIV care. Today, Whitman-Walker includes many parts rallied around the shared vision of expanding expertise locally and nationally through care, research and scientific discovery, education, and policy change.
The General Counsel will serve as a member of the Senior Leadership Team and serve as counsel to Whitman-Walker Health (WWH) and Whitman-Walker Health System (WWHS) and their Boards of Directors on all legal matters while also serving as a key, strategic business advisor. The role will dually report to CEO of WWH and CEO of WWHS. You will serve as counsel to these entities, as well as the WWHS subsidiaries: Whitman-Walker Foundation, Whitman-Walker Institute, and Whitman-Walker Health System Real Property Holdings.
You will manage the legal, regulatory, privacy, risk, and compliance functions in support of the organization’s mission and strategic initiatives. Specific areas of responsibility include:
Serving as the Corporate Secretary and maintaining all corporate documents while advising the CEOs, Boards of Directors, and management on all corporate governance matters, including compliance with federal and state laws applicable to tax-exempt, charitable organizations and non-profit corporate law
Advising HR on employment matters including employee terminations, the EEO, ADA, FMLA, and FLSA
Handling any potential mergers and acquisitions
Leading the legal review of commercial, vendor, and payor contracts; grant agreements; licenses; consulting agreements; clinical education and training agreements; and strategic alliances
Handling any real estate matters
Advising on intellectual property issues with support of outside counsel
Management of all claims and any commercial or patient litigation
Overseeing the regulatory compliance program
Managing the work of outside counsel
Establishing and expanding relationships with law firms who provide pro bono legal services
Fostering a strong culture of compliance, ethics, and integrity by overseeing the Compliance Department
Offering legal, strategic, business guidance and risk management assessments to the CEOs relating to new initiatives and minimizing any organizational liability
Supervising and managing the legal and compliance teams, including WWH’s Director, Compliance and Privacy Officer, WWHS’s Director of Compliance, and other corporate staff attorneys, paralegals and other staff
Qualified candidates will have 10+ years of relevant, broad-based corporate generalist experience in a law firm, in-house, or government role. A detailed understanding of corporate governance and demonstrated experience working with Boards of Directors is critical, as is knowledge of the legal requirements applicable to non-profit organizations. Health care industry experience and knowledge of Federal and state health care statutes and regulations (i.e., the False Claims Act, Anti-Kickback statute, Anti-Inducement Statute, Federal Tort Claims Act, etc.) is required. Finally, you must have a demonstrated interest in mission-oriented nonprofit organizations and the ability to work harmoniously with diverse groups of individuals.
