								<description>COLUMBUS, Ohio,  As Corporate Securities Counsel, you will report to the&#xa0;Vice President, General Counsel, Global Corporate, with dotted line reporting to Chief Legal Officer,&#xa0;and assist others within the Vertiv Global Legal Department in support of Vertiv&#8217;s SEC reporting (&#8217;33 and &#8217;34 Act), NYSE and global securities requirements, executive compensation, corporate governance matters, corporate policies, and M&#38;A transactions. 
 Responsibilities: 
 
 Assist in drafting and reviewing Vertiv&#8217;s SEC periodic and current reports, including, but not limited to, Forms 8-K,10-Q, 10-K, Forms 3/4/5, S-4 and proxy statements; 
 Effectively provide support on M&#38;A activities, including, but not limited to, transaction agreements, due diligence and post-closing integration or divestment process; 
 Support corporate governance, NYSE and global securities compliance, and best practices; 
 Support the corporate secretarial function, including review and preparation of board and committee materials and assisting with preparation for annual stockholder meetings; 
 Advise on investor relations matters, including review of earnings announcements and scripts, press releases, and other investor communications; 
 Assist with executive compensation related matters; 
 Understand the intricacies of Vertiv&#8217;s business operations and strategic objectives and how they should be represented through the legal department; and 
 Provide guidance and assistance to internal departments such as finance, accounting, investor relations, and our strategy and business development teams on legal matters, as applicable. 
 Requirements: 
 
 4-7 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic and international operations. 
 Demonstrated work experience in preparing and reviewing SEC filings, including Forms 8-K, 10-Q, 10-K, Forms 3/4/5, S-8, S-4 and proxy statements. 
 Prefer (but not required) knowledge of and experience working with Microsoft Office Suite, EDGAR, and Workiva. 
 Ability to perform legal research and compile, analyze and interpret data. Requires strong analytical and communication skills and attention to detail 
 
 Education: 
 
 Juris Doctorate from a nationally-accredited law school&#xa0;with strong academic credentials 
 Member in good standing of a state bar.</description>

 About the Role:  &#xa0;The purpose of this position is to represent the Regional Income Tax Agency (&#8220;Agency&#8221;) and its member municipalities in judicial and administrative proceedings for the recovery of unpaid tax. You will work closely with the other Compliance Department managers in directing the work of the Department&#8217;s collection and paralegal staff.&#xa0; As directed by the Chief Legal Counsel, you will also be responsible for providing legal advice on a day-to-day basis to members of the Agency&#8217;s administration, management staff or employees on matters related to the Agency&#8217;s business.&#xa0; 
 &#xa0; 
 About RITA:  The Agency is an OPERS employer that offers low monthly premiums for health benefits for employees, spouses and dependents with no monthly cost for dental and vision coverage.  EXAMPLES OF ESSENTIAL FUNCTIONS 
 
 Acts as attorney of record and performs related work with regard to litigation filed by RITA on behalf of member municipalities against delinquent taxpayers in civil cases and, when necessary, in small claims cases, including, but not limited to appearances in court, drafting of pleadings and motions, conducting discovery and all related litigation work. 
 Oversees the work of the legal department staff with regard to all such matters as it relates to court action. 
 Communicates with member municipalities with regard to pending or potential litigation against delinquent taxpayers. 
 Negotiates settlements and other resolution to pending litigation and non-litigation compliance issues. 
 Stays abreast of, and knowledgeable with regard to, municipal income tax statutes, laws and case law in the State of Ohio and advise the Agency and its member municipalities with regard to the same. 
 Stays abreast of, and knowledgeable with regard to, debt collection statutes or case law and advise the Agency and its member municipalities with regard to the same. 
 Advise Agency management and/or staff on legal issues related to delinquent or non-compliant taxpayers whether or not in litigation. 
 Perform other legal work as assigned by the Chief Legal Counsel. 
 About You:  
 
 Must possess a Juris Doctor Degree from an accredited law school and be licensed to practice law in the State of Ohio, in good standing.
 
 Must also be admitted, or become admitted within six months of your hire, to practice before the Unites States District Courts in the Northern and Southern Districts of Ohio for purposes of serving as counsel of record in bankruptcy matters. 
 
 
 The employee must possess at least two years of experience practicing in the area of debt collection. An emphasis on income tax or other government collections is desired.&#xa0;
 
 Experience practicing in consumer bankruptcy is a plus. 
 
 
 Excellent interpersonal and client service skills, as well as have the ability to work very closely, competently and professionally with all levels of Agency leadership and staff, municipal officials, court officials, taxpayers and taxpayer representatives. The employee must have the ability to multi-task, to learn quickly and to think on his or her feet and must possess the ability to work effectively under pressure.&#xa0; The employee must demonstrate a work ethic capable of disciplined self-motivation and a commitment to the highest standards of professional integrity, maturity and judgment.&#xa0;
